| 摘 要： | 表决权信托在保持公司管理连续、挽救陷入财产危机的公司、保护中小股东权益和完善国有股权管理方面具有其他制度难以替代的优势,《公司法》没有增订这项制度是一大缺憾。我国应当采取有效措施构建表决权信托制度,同时创造该制度生存的外部环境。

| Abstract: | The voting trust has peculiar functions,such as stabilizing the management of a corporate,remedying a deficit finance corporate,protecting minority shareholders' interest,and improving state-owned stocks management. However,Chinese Corporate Law dose not include it.We should adopt effective measures to construct the system of voting trust and perfect the relevant outside environment. |
