我国商事登记程序立法现状及其制度缺陷

商事登记程序是整个商事登记制度的核心,从某种程度上讲,商事登记程序的好坏直接决定了商事登记制度的优劣。我国商事登记制度历经几十年的发展,虽然取得了一定的进步,但其现存问题也是不容忽视的,商事登记程序立法问题尤为突出。缺乏统一的商事登记程序立法、采用折中审查主义、前置审批设置繁多、适用三级审批机制、公示方法以公告为主,这些都是我国商事登记程序立法现状的具体表现。而登记依据及其程序不统一、公开性透明度较差、审查原则明显不当、登记行为的法律责任不明确等问题更是严重制约了商事登记程序应有作用的发挥,阻碍了商事登记制度设立目的的实现。

The Current Legislative Conditions and System Defects of the Procedures of Commercial Registration in China

Commercial registration procedure is the core of the entire commercial registration system.To some extent,the procedure may decide the quality of the system.After several dozens of years' development,the commercial registration system has produced a certain improvement.However,the existing problems in it can not be ignored.The problems about the commercial registration legislation of procedure are especially prominent.Uniform commercial registration legislation of procedure doesn't exist;compromised censoring is adopted;arrangement of advanced censoring is numerous;three-tier trial model and the way of public is notified by announcement.All of these are concrete reflections of Chinese current commercial legislative conditions.Now Chinese legislative defects of the procedures of commercial registration are showed by the following: the disunity of basis and procedure,the poverty of openness and transparency,the examination principles' inappropriateness and the unclearness of the legal responsibilities of registration behavior.These defects severely restrict the role of commercial registration procedure and prevent the attainment of the purpose of commercial registration system.
