摘    要:中央全面深化改革委员会第十二次会议审议通过了《赋予科研人员职务科技成果所有权或长期使用权试点实施方案》。股权激励机制作为一种长效激励方式在科技成果转化中扮演着重要角色。本文在系统梳理科技成果转化股权激励概念及研究进展的基础上,以主要科技发达国家在科技成果转化股权激励政策的运行现状与基础架构为主线,分析其可借鉴的经验,结合我国科技成果转化中股权激励及模式的现状及问题,提出完善国家科技成果转化中股权激励制度的政策建议。

Abstract:The 12th session of Central Committee for comprehensively deepening reform recently deliberated and passed the Pilot Implementation Plan for granting Scientific Researchers the Ownership or Long-term Use-right of Occupational Scientific and Technological Achievements. Equity incentive mechanism plays an important role in the technology transfer as a long-term incentive method. This paper studies the concept and the progress of the equity incentive in technology transfer systematically and focuses on the operation situation and infrastructure of equity incentive policies of major science and technology developed countries, as well as their experience and lessons. Furthermore, based on the in-depth investigation on the current equity-incentive activities and patterns of China, the paper puts forward some proposals to improve the equity incentive policy for the technology transfer.
