| 摘 要： | 国有企业改革是一个重大的系统工程，目前，国有企业改革存在的许多问题。本文论述了国有企业进行公司制改造的必要性。分析了国企改制时法人治理结构中存在的问题，建议修改《公司法》中有关人事，体制和国有财产管理等方面的规定，完善我国公司法人治理结构。

| Abstract: | The reform in state-owned enterprises is an important systematic engineering. At present, there exist a lot of problems in the reformation in state-owned enterprises.This article tries to expound the necessities of the company system reformation in state-owned enterprises and analyze the existing problems in the legal person's management structure while reforming the systems of state-owned enterprises.Suggestions have come into being on the revision of some regulations concerning the personnel, system and national properties management in Company Act to perfect our country's legal person's managment structure. |
