后金融危机时代风险投资并购的法律问题——以东莞为例

金融危机爆发以来,对于中小企业而言最重要的打击就是来自资金上的供给短缺。一方面,由于经济条件下滑,消费市场受到影响,企业自身造血的能力下降;另一方面,金融机构收紧信贷,中小企业比以前更加难以获得银行的支持。很多中小企业寄希望于直接融资,以解决资金瓶颈,更有远见的中小企业同时寄希望于通过风险投资直接融资来把自己推向公共平台。然而,被风险投资＂并购＂的过程中会遇到各种法律问题,即本文研究的重点。

Legal Research on Venture Capital in Post-Financial Crisis Period：Taking Dongguan as Example

After financial crisis,the biggest attack for SMEs is the short supply of capital.On one hand,enterprises’ profitability decreases because of the weak consumer market with the downturn of economy;on the other hand,it is more difficulty for SMEs to borrow money from banks due to the strict credit policy.In order to solve the financial problem,some SMEs hope to get the support of venture capital and then IPO.However,in this process,they will encounter many legal problems,which are the main points of the paper’s research.
