摘    要:《中华人民共和国物权法》已由十届人大五次会议高票通过,担保物权作为物权法中的一项重要内容,对于抵御我国市场经济生活中的各种风险将起到举足轻重的作用。但在担保物权中,《物权法》关于抵押转让制度规定却存在许多不足:限制抵押人转让抵押物,没有兼顾当事人的利益,没有考虑到动产抵押的特殊性,仅以替代清偿作为唯一解除抵押权人同意的条件。通过分析比较国内外关于该制度的立法状况,针对我国立法中存在的问题提出一些建设性的意见。

Abstract:China Property Law of People's Republic was ratified by the Fifth Session of the Tenth National People' s Congress. The Guarantee Law of the People' s Republic of China being an important content of Property Law, it plays a pivotal role to resist all kinds of risks. However, there are many shortcomings in the mortgage and transferring system in Guarantee Law. Mortgagor is prohibited to transfer freely. The system doesn' t take good care of clients' in terests and doesn't take into account the special nature of property that may be mortgaged according to law, just viewing the alternative liquidation as the only condition to lift the consent of the creditor. This essay will analyze the legislative situation of transfer mortgaged property at home and abroad in view of the defects which exist in our legislation and bring some constructive comments.
