论期权交易合约标的物的法律性质

期权交易是现代金融市场中的一种金融衍生工具交易形式，我国目前在这方面的基础性立法几乎为空白．通过分析期权交易合约标的物的法律性质，指出除财产所有权、使用权之外，期权交易合约的标的物——选择权是一种在法律上可以作为合同标的物的第三种权利形态，并总结出选择权作为合同标的物所具有的特点，同时作者认为我国有关法律中确立选择权作为交易的标的物的法律地位对我国有重大的立法意义．

On the Legal Nature of Contractual Subject Matter in Option Transaction

Option transaction is a transaction form of finance derivative in modern finance market. At the beginning of the year 2004, the State Council made the decision to probe into the finance derivative market in China, which is almost a blank in basic laws at present. In this article, the author points out, through analyzing the legal characteristics of the subject matter in option transaction, that option-the subject matter of a contract in option transaction-is the third right pattern in law as a transaction subject matter besides property right and application right, and summaries the characteristics of option as a transaction subject matter. Meanwhile, the author holds the opinion that it would be significant to China in legislative sense to establish the legal status of option as a subject matter.
