| 摘 要： | 基金＂老鼠仓＂是指基金投资管理人员违背信托义务进行非法的利益输送,是一种典型的背信行为。对基金背信行为的法理分析主要包含三个方面：首先是基金背信行为的表现及其危害;其次是从行为主体、行为方式、侵害法益等方面对基金背信行为的法律特征的分析;最后是从经济、法律和基金治理结构三个层面揭示基金背信行为的成因。
