| 摘 要： | 当事人约定一方的履行为另一方履行的条件的，可适用先履行抗辩权制度予以调整。先履行抗辩权的成立应以先履行方可能履行为要件。先履行抗辩权行使的限度应依诚实信用原则进行解释，并结合后履行方合同目的的实现程度进行具体判断。

| Abstract: | It shall be regulated by the Rule of the Defense of First-Performance in the condition that the two parties agree that one party's performance is the requisite for the other party's subsequent performance.It is a necessary condition for the formation of the Defense of First-performance that the duty can be performed by the party which is the first to perform.The limit and degree of the exercise of this right shall be interpreted according to the rule of bona fide and shall be judged specifically by the realization degree of the contact goal of the party which is the next to perform. |
