公司监事民事赔偿责任制度新探

2006年1月1日生效的《公司法》规定了监事对公司的民事赔偿责任。但这种民事赔偿责任，从对公司监事履行职权进行监督的角度而言，由于立法规定的原则性以及监事对公司股东和债权人的民事赔偿责任的缺失，难以解决监事不监事、不作为的问题。文章就监事应承担的民事赔偿责任问题，提出了完善的建议和构建的内容。就监事对公司民事赔偿责任的完善而言，应明确监事勤勉义务的法律判断标准和监事对公司承担民事责任的归责原则；就监事对公司股东和债权人的民事赔偿责任构建而言，应明确公司监事对股东和债权人承担民事赔偿责任的条件和方式。

On Company Supervisor Civil Compensation Liability System

On January 1, 2006 the ＂Company Law＂ provisions of the supervisors of the company＇s civil liability was put into force. But this compensation liability has limitation in guaranteeing supervisors＇ perfect performance in their work on account of its principle and for lack of supervisors＇ civil liability for the shareholders of the company and creditors. This paper points out that supervisors should bear civil liability and puts forward a good proposal to improve it. It is made clear that supervisors should have the legal obligation of due diligence and shoulder civil liability; in terms of their civil liability, supervisors should be made clear to bear the conditions and ways of civil liability for shareholders and creditors.
