［Purposes］The aim is to study the nonnil-w-coherent rings in terms of ideal-theory and module-theory. ［Methods］It introduces and studies the notion of Φ-w-flat modules, and proves that the class of all Φ-w-flat modules is covering. ［Results］The nonnil-w-coherent rings are characterized in terms of ideal-theory and module-theory. ［Conclusions］The notion of nonnil w-coherent rings is worth exploring in both Φ-rings and w-operations.
